through its wholly owned subsidiary Synergy, Inc., maintains the Web site
and blog for the Center for Co-Evolutionary Development™ (CCED)
as a means of providing and sharing information on topics to interested individuals
in the commercial, governmental and academic world.
By accessing this Web site and blog, you are acknowledging that you have
read and understood this Terms of Use Agreement and agree to comply with
and be legally bound by the following terms of use. Please review the following
terms carefully. If you do not agree to these terms, you should not review
information contained on this Web site or participate
in blog discussions.

1. Acceptance of Agreement. You agree to the terms and
conditions outlined in this Terms of Use Agreement ("Agreement")
with respect to this Web site. This Agreement constitutes the entire and
only agreement between ICF International and you, and supersedes all prior
or contemporaneous agreements, representations, warranties and understandings
with respect to the Web site, the content provided by or through the Web
site, and the subject matter of this Agreement. This Agreement may be amended
at any time by ICF International from time to time without specific notice
to you. The latest Agreement will be posted on the Web site, and you should
review this Agreement prior to using the Web site.
2. Conditions on Participation. You may use the Web site
only if: (i) you are eighteen (18) years of age or older and are of the
age of consent in your jurisdiction; (ii) your use of the Web site will
not violate any law in any applicable jurisdiction, including, but not
limited to, United States export controls; (iii) you do not engage in any
conduct that will impede, impair, or interfere with the functioning of
the Web site; and (iv) you agree to be bound by and abide by all of the
provisions of this Agreement.
3. Copyright. The content, organization, graphics, design,
compilation, magnetic translation, digital conversion, and other matters
related to the Web site are protected under applicable copyrights, trademarks,
and other proprietary (including but not limited to intellectual property)
rights. The copying, redistribution, use or publication by you of any such
matters or any part of the Web site, except as allowed by Section 5 below,
is strictly prohibited. You do not acquire ownership rights to any content,
document or other materials viewed through the Web site. The posting of
information or materials on the Web site does not constitute a waiver of
any right in such information and materials.
4. Trademarks. ICF International is a trademark of ICF
International, Inc. Other products and services as well as company
names mentioned on the Web site, including the Center for Co-Evolutionary
Development (CCED), may be trademarks of their respective owners.
5. Limited Right to Use. The viewing, printing, or downloading
of any content, graphic, form or document from the Web site grants you
only a limited, nonexclusive license for use solely by you for your own
personal use and not for republication, distribution, assignment, sublicense,
sale, preparation of derivative works, or other use. No part of any content,
form, or document may be reproduced in any form or incorporated into any
information retrieval system, electronic or mechanical, other than for
your personal use (but not for resale, redistribution, or any commercial
use).
6. Editing, Deleting, and Modification. ICF International
reserves the right in its sole discretion to edit or delete any documents,

with regard to contents on this Website transmitted by a user of this Web
site via electronic mail or otherwise, including any data, questions, or
comments regarding the content of any document or other information contained
on the Web site, shall be deemed to be nonconfidential
and ICF International shall have no obligation of any kind with respect to
such information. ICF International shall be free to reproduce, use, disclose,
and distribute the information to others without limitation. Further, ICF
International shall be free to use any ideas, concepts, know-how, or techniques
contained in such information for any purpose whatsoever including, without
limitation, publication on the Web site, or other ICF International publications,
and developing, manufacturing, and marketing products or services using
such information. ICF International shall have no obligation to compensate
the contributor of such information in any manner.
8. Nontransferable. Your right to use the Web site is
not transferable. Any password or right given to you to obtain information
or documents is not transferable.
9. Disclaimer and Limitation on Liability.

FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

(C) LIMITATION ON LIABILITY. NEITHER

(D) LIMITATION ON LIABILITY
OF COPYRIGHT HOLDERS. COPYRIGHT

DAMAGES, LOSS OF DATA, INCOME, PROFIT OR GOODWILL, OR DAMAGE TO PROPERTY ARISING

10. Limits. All responsibility or liability for any damages
caused by viruses contained within the electronic file containing the form
or document is disclaimed. ICF International WILL NOT BE LIABLE TO YOU FOR
ANY INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND THAT MAY
RESULT FROM USE OF OR INABILITY TO USE ITS WEB SITE. ICF International’s
maximum liability to you under all circumstances will be equal to the registration
fee you paid.
11. Indemnification. You agree to indemnify and hold harmless
ICF International, its subsidiary corporations, affiliates, and their respective
officers, directors, employees, agents, and representatives, from and against
any and all claims, losses, liability, costs, and expenses (including but
not limited to reasonable attorneys' fees) arising from or relating to
your use of the Web site or the information, and/or your violation of this
Agreement or any third party's rights, including but not limited to copyright,
proprietary, and privacy rights. ICF International
shall provide notice to you promptly of any such claim, suit, or proceeding
and shall assist you, at your expense, in defending any such claim, suit,
or proceeding.
12. Use of Information. ICF International reserves the right,
and you authorize it, to the use and assignment of all information regarding
Web site uses by you and all information provided by you in any manner
consistent with its Privacy Policy.
13. Third-Party Services. ICF International may allow access
to or advertise third-party merchant websites ("Merchants") from
which you may purchase certain goods or services. You understand that ICF
International does not operate or control the products or services offered by
Merchants. Merchants are responsible for all aspects of order processing,
fulfillment, billing, and customer service. ICF International is not a party
to the transactions entered into between you and Merchants. You agree that
use of such Merchants is AT YOUR SOLE RISK AND IS WITHOUT WARRANTIES OF ANY
KIND BY IT, EXPRESSED, IMPLIED, OR OTHERWISE, INCLUDING WARRANTIES OF TITLE,
FITNESS FOR PURPOSE, MERCHANTABILITY, OR NON-INFRINGEMENT. UNDER NO CIRCUMSTANCES
IS IT LIABLE FOR ANY DAMAGES ARISING FROM THE TRANSACTIONS BETWEEN YOU AND
MERCHANTS OR FOR ANY INFORMATION APPEARING ON MERCHANT WEB SITES OR ANY OTHER
WEB SITE LINKED TO ITS WEB SITE.
14. Third-Party Merchant Policies. All rules, policies (including
privacy policies), and operating procedures of Merchants will apply to you
while on such Web sites. ICF International is not responsible for information
provided by you to Merchants. ICF International and the Merchants are independent
contractors, and neither party has authority to make any representations
or commitments on behalf of the other.
15. Privacy Policy. ICF International’s Privacy Policy,
as it may change from time to time, is a part of this Agreement. You may
review its Privacy Policy.
16. Payments. You represent and warrant that if you are
purchasing something from ICF International or from its Merchants that (i) any
credit card information you supply is true, correct, and complete, (ii) charges
incurred by you will be honored by your credit card company, (iii) you will
pay the charges incurred by you at the posted prices, including any applicable
taxes.
17. Links to Other Web Sites. The Web site may contain links
to other Web sites. ICF International is not responsible for the content, accuracy,
or opinions expressed in such Web sites, and such Web sites are not investigated,
monitored, or checked for accuracy or completeness by it. Inclusion of any
linked Web site on its Web site does not imply approval or endorsement of
the linked Web site by it. If you decide to leave this Web site and access
these third-party Web sites, you do so at your own risk.
18. Information and Press Releases. The Web site may contain
information and press releases about ICF International. While this information
was believed to be accurate as of the date prepared, ICF International disclaims
any duty or obligation to update this information or any press releases.
Information about companies other than ICF International that is contained in
the press release or otherwise, should not be relied upon as being provided
or endorsed by ICF International.
19. Force Majeure. In addition to applicable disclaimers
stated above, ICF International's performance under this Agreement shall be
excused in the event of interruption and/or delay due to causes beyond its
reasonable control, such as acts of God, acts of any government, war or
other hostility, civil disorder, the elements, fire, earthquake, explosion,
acts of terrorism, power failures, equipment failure, industrial or labor
dispute, acts of Data Providers or other third-party information providers,
third-party software, or communication method interruption.
20. Termination. ICF International may terminate this agreement
at any time. Upon termination, you agree to cease all use of this Web site.
Without limiting the foregoing, ICF International shall have the right to immediately
terminate your access and use of the Web site, or any portion of the Web
site, in the event of any conduct by you or through your account which ICF
International, in its sole discretion, considers to be unacceptable, or in the
event of any breach by you of this Agreement.
21. Miscellaneous. This Agreement shall be treated as though
it were executed and performed in Virginia, and shall be governed by and
construed in accordance with the laws of the Commonwealth of Virginia (without
regard to conflict of law principles). Any dispute relating to this Agreement
shall be submitted solely to arbitration conducted in Fairfax County, Virginia.
Any cause of action by you with respect to the Web site (and/or any information,
products or services related thereto) must be instituted and submitted to
arbitration within one (1) year after the cause of action arose or be forever
waived and barred. All actions shall be subject to the limitations set forth
above. The language in this Agreement shall be interpreted as to its fair
meaning and not strictly for or against either party. You expressly agree
to arbitration as the exclusive remedy. Should any part of this Agreement
be held invalid or unenforceable, that portion shall be construed consistent
with applicable law and the remaining portions shall remain in full force
and effect. To the extent that anything in or associated with the Web site
is in conflict or inconsistent with this Agreement, this Agreement shall
take precedence. ICF International’s failure to enforce any provision
of this Agreement shall not be deemed a waiver of such provision nor of the
right to enforce such provision.
22. Survival. Sections 1, 5-14, 17-21, and this Section
22 of this Agreement shall survive the termination of this Agreement and
shall apply indefinitely.
